The undersigned Authorized Agent(s) hereby:

• Affirm that there are no other Authorized Agent(s) other than those listed in the "Personal Information" Section or identified on a separate sheet of paper attached to this application. Affirm that the attached pages of the Corporation/Partnership document are true copies of the valid legal document currently in effect. If only one person executes this application, such person represents that the signer is the sole Authorized Agent.
• Affirm that you have the power under the Entity and applicable law to enter into the transactions and issue the instructions that you make in this account. Such power includes, without limitation, the authority, to retain an investment adviser, to buy and sell any security (including mutual funds), exchange, convert, tender, redeem and withdraw assets (including delivery of securities and cash to and from the account) for and at the risk of the Entity. You understand that all orders and transactions will be further governed by the terms and conditions of all other account agreements applicable to this account.
• Certify that any and all transactions effected and instructions given on this account will be in full compliance with the Corporation/Partnership agreement and applicable law. You agree to inform Victory Funds in writing of any changes in the composition of the Authorized Agent(s), or any other event that could alter the certifications made above.
• Authorize Victory Funds to accept orders and other instructions for this account from those individuals identified in this form or identified later in an appropriate form certifying changes to the composition of the Authorized Agent(s). This includes the authority to deliver any or all assets in the account to any Authorized Agent(s) (personally or otherwise), or according to any Authorized Agent(s) instructions. Victory Funds, at our option and for our protection, may require approval of other Authorized Agent(s) before acting on any such order or instruction.
• Indemnify and hold harmless Victory Funds, and its respective affiliates and agents from any claim, loss, expense or other liability for effecting any transactions, and acting upon any instructions given by any Authorized Agent. I, the Authorized Agent, certify that any and all transactions effected and instructions given on this account will be in full compliance with the Entity agreement and applicable law. I, the Authorized Agent, agree to inform you in writing of any changes in the composition of the Authorized Agents, or any other event that could alter the certifications made above.

The Trustee hereby certifies the following:

• Every Trustee has signed below (or you are the sole Trustee, if applicable) and is authorized to make these statements.
• The Trust has not been revoked, modified, or amended in any manner that would cause the statements contained in this Trust certification to be incorrect.
• The Trust exists under all applicable laws.
• Has the authority under the Trust and applicable law to enter into transactions, delegate trading authorization to the other authorized individuals, issue instructions on this account for, and at the risk of, the Trust, and agree that any transactions and instructions will be in full compliance with the Trust. If allowed for by the provisions of the Trust, one or more of the Trustees listed on this form may in fact be a Power of Attorney (POA). The POA will be referred to as a Trustee throughout this document and will be subject to the same terms and conditions contained herein.
• You, the Trustees, in your capacity as Trustees, may grant a Power of Attorney to a third party, and you certify that you have the authority under the Terms of the Trust and applicable state law. You, the Trustees, further understand that this is a delegation of your fiduciary responsibilities under the Trust. This delegation will be binding on the Trust, all current and successor trustees and Trust beneficiaries.
• You authorize Victory Funds to accept orders and other instructions for this account from any Trustee and/or any other authorized individual or entity. This includes the authority to deliver any or all assets in the account to any Trustee (personally or otherwise), or according to any Trustee's instructions. Victory Funds, at our option and for our protection, may require approval of other Trustees before acting on any such order or instruction.
• You indemnify and hold harmless Victory Funds, and its respective officers, directors, employees, affiliates, agents, successors and assigning from any claim, loss, expense or other liability for effecting any transactions, and acting upon any instructions given by any Trustee/Executor. I, the Trustee/Executor, certify that any and all transactions effected and instructions given on this account will be in full compliance with the Trust/Estate agreement and applicable law. I, the Trustee/Executor, agree to inform you in writing of any changes to these certifications, including but not limited to, the composition of the Trustee/Executors, or any other event that could alter the certifications made above.
